YouMicro´s Contest Rules: The Most Voted Audio File in 2009

Subject of the Contest

This Contest is organized by YouMicro, SL to determine the Audio File which have received the most number of votes than any other one in the web site YouMicro.com during the lifetime fixed on this document.

The prize of the contest will be an amount in cash of $1,000 US Dollars

The contest is governed by the Rules established in this document that have been published in Spanish and English, and the Spanish-language version will prevail in the event of discrepancies between the two versions. Acceptance of this document by the user is a prerequisite for participation in the contest and for the aceptation of the final award.

Basic Rules of the Contest

Is able to participate in this Contest every user of the website YouMicro.com who have uploaded at least 3 Audio Files with the requirements set out in paragraph 6 of this document. For any questions any user is able to contact with YouMicro, S.L. by email to help@youmicro.com

Communication

The communication of hte Contest will be done through publication on the website YouMicro.com and by e-mail to the address provided by the user who has won the Contest at the time of processing his/her register as a user of YouMicro.com.

Geographical Scope

This Contest is international in scope.

TimeLine of the Contest

The Contest begins on March 1, 2009 at 0:00 pm and ends on December 31, 2009 at 24:00 am.

Conditions for participation

Is able to participate in this Contest every user of the siteweb YouMicro.com satisfying the following conditions:

- Individuals older than 16 years.

- Non employees or partners of YouMicro, S.L. or family members.

- Who is user of the website www.YouMicro.com.

- Have uploaded to the website YouMicro.com at least 3 Audio Files satisfying the following requirements:

a) The content of the Audio File must be an own user creation.

b) The duration of the content of the Audio File must be at least of 1,5 minutes.

c) The content must not offend or injure sensitivities and respecting the customs and habits generally accepted and be consistent and understandable.

d) The Audio File must not be a version of a work by another author.

The Prize

The prize will be a cash payment of $ 1,000 USD and will be won by the user of the Audio File with the most number of votes during the timeline set in this document. YouMicro, S.L. will contact the winner through the email address provided when processing his/her register as user in YouMicro.com in order to specify his/her data and the means of payment. Furthermore, the result will be published on the website www.YouMicro.com.

In the event that YouMicro, S.L. have not received any reply from the user winner within 10 working days after contacting him by email, the prize will be allocated to the first vacancy (the user who has uploaded the second file with more number of votes during the timeline set in this document) and if the first vacancy does not answer within the time indicated above, the prize will be allocated to the second vacancy and so on until the prize is delivered to the vacancy replying within the period indicated. If there is no reply from any winner to YouMicro, S.L. before 24:00 hours on 31 March 2010, the prize will be desert.

YouMicro, S.L. meets, for each award, tax obligations that under current regulations are applicable in Spain.

Data protection and consent for commercial communications

YouMicro, S.L. ensures full compliance with Protection of Personal Data and in accordance with Law 15/1999, the Owner is informed of the inclusion of their data files to the Company and its automated processing for maintenance and development of their contractual relationship and management of the Company. Also the user is informed and consents the processing of personal data provided, as well as the data that the Corporation has access as a result of the user´s browsing on the Internet websites of the consultation, for the purposes of sending communications, including electronic communications for the purposes of Article 21 of Law 34/2002 of the Information Society, products, goods or services marketed by YouMicro, S.L. Data collected are solely for the purposes set forth in this paragraph.

Privacy policy of YouMicro, S.L. assures, anyway, the exercise of rights like of access, rectification, cancellation, assessment and opposition, as defined in current Spanish legislation, and the user can use them by the email service in youmicro@youmicro.com

Liability Limitations

YouMicro, S.L. reserves the right to discontinue, at any time, access to this Contest, whether permanently or temporarily character, for security reasons, restructuring or termination of services or any other valid reason dictated, however, giving may arise or liability whatsoever for YouMicro, SL nor any right to compensation for the users.

YouMicro, S.L. is not responsible for any damages arising from participation in this Contest, or the unavailability of the Contest due to technical or operational reasons not attributable to the Company. YouMicro, S.L. will not be liable for any loss or damage that may derive from interferences, omissions, interruptions, computer viruses, telephone breakdowns or disconnections in the operation of the system, motivated by reasons beyond YouMicro, S.L.; delays or blockages in the use of system caused by deficiencies or overloads of telephone lines or overloads in the Data Processing Center, or in other electronic systems, provided they occur for reasons beyond the control of YouMicro, S.L., as well as damage caused by third parties through illegitimate in the system chosen, beyond the control of YouMicro, S.L.

Applicable Law and Jurisdiction

The interpretation and enforcement of this document shall be governed by Spanish law, being the competent Courts of Madrid, with express waiver of any other jurisdiction.
